Important: Please read these Terms carefully before engaging our services. By placing an order, making a payment, or signing a proposal, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using the website https://www.digitallync.in ("Website") or engaging Digital Lync for any services, you ("Client" / "User") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, please discontinue use immediately. These Terms constitute a legally binding agreement between you and Digital Lync ("Company", "We", "Us", "Our"), a software development and IT services firm registered and operating from Hyderabad, Telangana, India.
2. Services
Digital Lync provides the following IT and digital services: • Custom Web Development (Next.js, React, WordPress, e-commerce) • Mobile App Development (React Native, Flutter — iOS & Android) • AI & Automation (chatbots, RAG systems, workflow automation) • Cloud Solutions (AWS, Azure, GCP — migration, DevOps, optimisation) • Cybersecurity (VAPT audits, penetration testing, WAF setup) • Custom Software Development (CRM, ERP, SaaS platforms) • UI/UX Design (Figma wireframes, prototypes, design systems) • Digital Marketing (Meta Ads, Google Ads, SEO, social media) All services are subject to a separate project agreement, Statement of Work (SOW), or purchase order agreed upon by both parties in writing.
3. Payment Terms
3.1 All prices are quoted in Indian Rupees (INR) unless explicitly stated otherwise. 3.2 Payment schedules are outlined in the project proposal or SOW. Standard payment structure is: • 50% advance payment before project commencement • Remaining balance before final delivery or as per milestones agreed in writing 3.3 Payments are accepted via bank transfer (NEFT/RTGS/IMPS), UPI, or payment gateway links (Razorpay / PhonePe / Paytm). 3.4 All payments are non-refundable except as stated in our Refund Policy. 3.5 Invoices must be paid within 7 days of issuance unless otherwise agreed. 3.6 Late payments may attract interest at 1.5% per month on the outstanding amount. 3.7 Digital Lync reserves the right to suspend or terminate services for accounts with outstanding dues beyond 30 days.
4. Intellectual Property
4.1 Upon receipt of full and final payment, all custom deliverables (code, designs, content) created specifically for the Client shall become the Client's intellectual property. 4.2 Digital Lync retains ownership of all pre-existing code libraries, frameworks, boilerplates, and tools used in developing the deliverables. 4.3 Digital Lync reserves the right to showcase the completed project in its portfolio, case studies, and marketing materials unless the Client explicitly requests confidentiality in writing before project commencement. 4.4 Third-party assets (fonts, stock images, plugins, APIs) used in deliverables are subject to their respective licences. The Client is responsible for obtaining and maintaining appropriate licences.
5. Client Responsibilities
5.1 The Client shall provide all required content, materials, credentials, and feedback in a timely manner. 5.2 Delays caused by the Client's failure to provide necessary inputs may result in revised timelines and additional charges. 5.3 The Client is responsible for ensuring that all content and data provided to Digital Lync does not infringe any third-party intellectual property, privacy, or legal rights. 5.4 The Client shall not use Digital Lync's services for any illegal, harmful, or unethical purposes. 5.5 The Client agrees to provide accurate business and contact information for billing and communication purposes.
6. Confidentiality
6.1 Both parties agree to keep confidential all proprietary or sensitive information shared during the course of the engagement. 6.2 Neither party shall disclose confidential information to any third party without prior written consent of the other party. 6.3 This obligation of confidentiality survives the termination of the service agreement for a period of 2 years.
7. Warranty & Support
7.1 Digital Lync provides a 30-day bug-fix warranty post-delivery for all custom development projects. This covers defects directly attributable to our code. 7.2 The warranty does not cover issues arising from: • Client modifications to the delivered code • Third-party service outages (hosting, APIs, payment gateways) • Browser or device compatibility beyond the agreed scope • Feature requests beyond the original scope 7.3 Post-warranty support and maintenance are available as separate paid engagements.
8. Limitation of Liability
8.1 Digital Lync's total liability to the Client for any claim arising out of or in connection with the services shall not exceed the total amount paid by the Client in the three months preceding the claim. 8.2 Digital Lync shall not be liable for any indirect, incidental, consequential, or punitive damages including loss of profits, data, or business opportunities. 8.3 Digital Lync is not responsible for downtime, data loss, or security breaches caused by third-party hosting providers, cloud services, or payment gateways.
9. Termination
9.1 Either party may terminate the service agreement with 14 days' written notice. 9.2 In the event of termination by the Client, payment is due for all work completed up to the date of termination. 9.3 Digital Lync may terminate services immediately without notice if the Client: • Breaches these Terms • Fails to make payment after due notice • Engages in illegal, fraudulent, or abusive conduct 9.4 Upon termination, Digital Lync shall deliver all completed work to the Client upon receipt of all outstanding payments.
10. Governing Law & Dispute Resolution
10.1 These Terms are governed by the laws of India, specifically the Information Technology Act 2000, Indian Contract Act 1872, and other applicable statutes. 10.2 Any dispute arising from these Terms shall first be attempted to be resolved through mutual negotiation within 30 days. 10.3 If negotiation fails, disputes shall be referred to arbitration under the Arbitration and Conciliation Act 1996, with the seat of arbitration in Hyderabad, Telangana, India. 10.4 The courts of Hyderabad, Telangana shall have exclusive jurisdiction over any legal proceedings.
11. Privacy

12. Changes to Terms
Digital Lync reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated revision date. Continued use of our Website or services after changes constitutes acceptance of the revised Terms.
